MO'S BROS TERMS AND CONDITIONS

1. Acceptance of Terms

Mo's Bros ("Company," "we," "us," or "our") is a marketing agency providing creative, design, and advertising services to trades companies and niche businesses. By selecting a plan, submitting payment, or checking the acknowledgement box at checkout, you ("Client," "you," or "your") agree to be bound by these Terms and Conditions ("Agreement").

This Agreement constitutes the entire understanding between Mo's Bros and the Client. If you do not agree to these terms, do not purchase a plan or engage our services.

2. Services & Plans

Mo’s Bros offers different paid digital advertising campaign management tiers depending on your needs, goals, and preferences— as described on our website at the time of purchase. Each plan includes a defined set of deliverables, campaign allocations, and graphic request types. The specific inclusions for each plan are detailed on our pricing page and are incorporated into this Agreement by reference.

2.1 Requests On Demand
Clients may submit creative and design requests at any time through their client portal. Requests are fulfilled one at a time in the order received, at the quality standard Mo's Bros is known for. Rush requests are not guaranteed but may be accommodated at our discretion.

2.2 Revision Policy
Each deliverable includes up to three (3) rounds of revisions. Revisions must be submitted within seven (7) business days of delivery. Requests for revisions beyond three rounds, or submitted after this window, may be subject to additional fees at our standard rate.

2.3 Turnaround Times
Standard turnaround for design and creative deliverables ranges from 2 to 14 days  from the time a complete and actionable request is received, depending on complexity of the project and revision cycles needed. Turnaround times for campaigns and larger deliverables will be communicated at the time of request. Mo's Bros is not responsible for delays caused by incomplete information, late approvals, or lack of response from the Client.

2.4 Service Modifications
Mo's Bros reserves the right to modify, update, or adjust plan inclusions at any time with thirty (30) days written notice to active clients. Any modifications to an individual Client's scope beyond their selected plan must be agreed upon in writing.

3. Onboarding & Toolbelt Kit

All new clients begin with our Toolbelt Kit — a foundational onboarding sprint conducted during the first thirty (30) days of the engagement. This process establishes your brand standards, core templates, and baseline assets so that all future work is fast, consistent, and aligned with your business.

3.1 Client Intake Requirement
To initiate the Toolbelt Kit, Clients must complete the onboarding intake form provided at sign-up within seven (7) business days of their start date. Mo's Bros will not be held responsible for delays in onboarding or deliverable timelines resulting from a Client's failure to complete the intake form in a timely manner.

3.2 Start Date
The Client's billing cycle and quarterly term begin on the start date selected at checkout, regardless of whether the onboarding intake form has been completed. Mo's Bros will make every effort to accelerate onboarding once intake materials are received.

4. Client Responsibilities

The Client agrees to provide Mo's Bros with timely access to all systems, platforms, accounts, credentials, and materials reasonably necessary to perform the agreed services. This includes but is not limited to brand guidelines, existing creative assets, advertising accounts, and relevant business information.

4.1 Timely Approvals
The Client agrees to respond to requests for feedback, approvals, or information within five (5) business days. Mo's Bros shall not be held responsible for delays, missed deadlines, or suboptimal campaign performance resulting from the Client's failure to respond within this window. Project timelines will be adjusted accordingly.

4.2 Accuracy of Information
The Client is solely responsible for the accuracy, legality, and completeness of all information, content, and materials provided to Mo's Bros. Mo's Bros will rely on Client-provided information in good faith and is not responsible for errors or issues arising from inaccurate or incomplete inputs.

5. Payment & Billing

5.1 Auto-Pay Authorization
By purchasing a plan, the Client authorizes Mo's Bros to automatically charge the payment method on file at the beginning of each month within a quarterly cycle. Payment is due in full at the start of each month. Mo's Bros will not commence work for a new quarter until monthly payments have been successfully processed.

5.2 Failed Payments
If a payment fails, Mo's Bros will notify the Client and allow five (5) business days to update the payment method on file. If payment is not successfully collected within this window, Mo's Bros reserves the right to pause active services until the account is brought current. Accounts delinquent beyond thirty (30) days may be subject to a late fee and/or termination of services at Mo's Bros' sole discretion.

5.3 Ad Spend
Ad spend is separate from and in addition to plan fees. The Client is responsible for funding their own advertising accounts (Google, Meta, etc.) directly. Mo's Bros manages campaigns on the Client's behalf but does not pay for, advance, or guarantee any ad spend. Mo's Bros is not responsible for changes in ad spend performance, platform policy changes, account suspensions, or any other actions taken by third-party advertising platforms.

5.4 Rate Adjustments
Mo's Bros reserves the right to adjust plan pricing at any time with thirty (30) days written notice. Clients who cancel as a result of a rate adjustment and later re-engage will be subject to current rates at the time of re-enrollment.

5.5 Refunds
All plan fees are non-refundable. Because Mo's Bros allocates resources, personnel, and campaign capacity at the start of each quarter, no refunds or credits will be issued for partially used billing periods. This policy applies regardless of campaign performance, usage level, or Client satisfaction with outcomes.

5.6 Credit Card Statement Descriptor

Charges from Mo's Bros will appear on your credit card or bank statement under the descriptor "MOS BROS" or a similar variation, depending on your financial institution. In some cases, your bank may display the charge with a "WIX*" prefix or a slight variation of the business name as processed through our payment platform. If you have any questions about a charge appearing on your statement, please contact us before initiating a dispute with your financial institution. Unauthorized chargeback filings on valid charges may result in suspension of services and recovery of associated fees.

6. Cancellation & Plan Changes

6.1 Quarterly Commitment
All plans operate on a quarterly cycle. We build, launch, and optimize campaigns by the quarter — this is the minimum meaningful unit of time for marketing to work. Clients are committing to one quarter at a time, not a long-term contract.

6.2 How to Cancel
To cancel, the Client must submit a written cancellation request via email or through our website at least thirty (30) days before the end of their current quarterly cycle. Upon receipt, Mo's Bros will confirm the cancellation in writing and identify the final date of service.

6.3 Effect of Cancellation
Cancellations confirmed within the 30-day window take effect at the end of the current quarter. No new quarterly cycles will be initiated after a confirmed cancellation. Cancellation requests received less than thirty (30) days before the end of a quarterly cycle will take effect at the conclusion of the following quarter.

6.4 Partial Cancellations
If a Client wishes to remove a specific campaign or service within their plan rather than cancel entirely, the same quarterly cancellation policy applies. The specific campaign or service will continue through the end of the current quarter and will not be renewed. No credits or refunds will be issued for the remaining portion of the quarter.

6.5 Plan Upgrades & Downgrades
Clients may upgrade their plan at any time, effective immediately upon payment of the prorated difference for the current quarter. Plan downgrades take effect at the start of the next quarterly cycle and must be requested in writing at least thirty (30) days before the end of the current quarter.

7. Advertising Disclaimer & No Guarantee of Results

Mo's Bros is a professional marketing agency. We bring expertise, strategy, and consistent execution to every engagement. That said, we do not guarantee specific outcomes.

7.1 No Performance Guarantees
Mo's Bros makes no guarantees, warranties, or promises regarding specific results including but not limited to leads generated, revenue growth, website traffic, search rankings, social media growth, return on ad spend, or any other performance metric. Every business, market, and campaign is different, and results will vary.

7.2 Factors Outside Our Control
Marketing performance is influenced by factors outside Mo's Bros' control, including market conditions, platform algorithm changes, competitor activity, seasonal demand, economic conditions, and the Client's own product quality, pricing, and reputation. Mo's Bros cannot be held liable for performance variations attributable to these or similar external factors.

7.3 Our Commitment
Mo's Bros commits to delivering all services with professional care, industry expertise, and a genuine investment in your growth. We will communicate proactively, optimize based on available data, and always act in the Client's best interest within the scope of the selected plan.

8. Ownership, Legal & General Provisions

8.1 Intellectual Property & Ownership
Upon receipt of full payment for the applicable billing period, the Client owns all final deliverables produced by Mo's Bros under their plan. Mo's Bros retains ownership of all preliminary concepts, drafts, and working files unless otherwise agreed in writing.

8.2 Portfolio & Case Study Rights
Mo's Bros reserves the right to feature completed work in its portfolio, website, social media, and marketing materials unless the Client submits a written request for exclusion within thirty (30) days of final delivery. Client names and identifying details will be used with discretion and may be withheld upon request.

8.3 Independent Contractor
Mo's Bros is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between Mo's Bros and the Client.

8.4 Governing Law
This Agreement shall be governed by the laws of the State of New Jersey. Any disputes arising under this Agreement shall be resolved first through good-faith negotiation, followed by mediation if necessary, before pursuing litigation. Legal proceedings, if required, shall be brought in the appropriate courts of the State of New Jersey.

8.5 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

8.6 Amendments
Mo's Bros reserves the right to update these Terms and Conditions at any time with thirty (30) days written notice to active clients. Continued use of services after notice constitutes acceptance of the updated terms.

8.7 Assignment
The Client may not assign or transfer this Agreement without prior written consent from Mo's Bros. Mo's Bros may assign this Agreement to any successor entity or related company.
